Terms of Service for AlphaY.io

Effective Date: May 1st, 2025

1. Acceptance of Terms

By accessing or using AlphaY.io, web.AlphaY.io, our Chrome extension, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you and EvoPorg LLC DBA AlphaY ("AlphaY," "we," "our," or "us"), a Florida limited liability company.

2. Eligibility and Account Registration

Age Requirements

Our Service is intended for users who are at least 16 years of age. By using our Service, you represent and warrant that you are at least 16 years old.

Account Information

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

Business Use

Our Service is designed for business acquisition and investment purposes. While we do not restrict access based on business type, users should ensure their use complies with applicable laws and regulations.

3. Service Description and Availability

AlphaY provides business acquisition management tools, including but not limited to:

  • Deal pipeline management
  • Financial analysis tools
  • Document management systems
  • AI-powered business analysis
  • Chrome extension for marketplace integration
  • Communication and task management features

Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time without notice.

4. Subscription Plans and Billing

Plan Types

We offer various subscription plans including:

  • Individual monthly and annual plans
  • Team monthly and annual plans
  • Free trial periods (currently 7 days, subject to change)

Free Trials

Free trials are available for new users. Trial duration may change from time to time at our discretion. No payment information is required during the trial period, but a subscription is required to continue using the Service after the trial expires.

Billing and Payments

  • Subscriptions automatically renew at the end of each billing period for the same duration unless cancelled
  • Payment is processed through Stripe, our third-party payment processor
  • Users can upgrade their plan at any time with immediate effect
  • Downgrades take effect at the end of the current billing period

Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings
  • Cancellation prevents future billing but allows continued access until the end of the current billing period
  • No refunds are provided for any subscription fees already paid
  • Upon cancellation, your subscription will not automatically renew

Price Changes

We reserve the right to modify subscription pricing with at least 30 days' notice to existing subscribers.

5. Usage Limits and Restrictions

Usage Limits

Your use of the Service is subject to usage limits as specified in your subscription plan and as displayed in your account settings at web.AlphaY.io. These limits may include restrictions on:

  • API calls
  • AI analysis requests
  • File uploads
  • Number of active deals

Prohibited Uses

You agree not to:

  • Use automated tools, scripts, or bots to access or scrape the Service
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for any illegal, harmful, or fraudulent activities
  • Reverse engineer, decompile, or attempt to extract source code
  • Violate any applicable laws or regulations
  • Share your account credentials with others
  • Use the Service to compete directly with AlphaY or develop competing products

6. Content and Intellectual Property

Your Content

  • You retain ownership of all business data, files, and content you upload to the Service ("Your Content")
  • You grant us a limited license to use Your Content solely to provide the Service to you
  • We may review business listing data (excluding confidential files) for quality assurance purposes
  • You represent that you have the right to upload and use Your Content on our Service

Confidential Information

  • We acknowledge that you may upload confidential business information, including NDAs and Confidential Information Memorandums (CIMs)
  • We will not access, review, or use confidential files except as necessary to provide core Service functionality
  • Confidential files are encrypted and stored securely but are not processed by our AI tools

Our Intellectual Property

  • AlphaY retains all rights to the Service, including software, features, and proprietary algorithms
  • You may not copy, modify, or distribute our intellectual property
  • All trademarks, logos, and brand names are our property

Data Export

Data export functionality is not currently available. We may add this feature in the future at our discretion.

7. AI-Generated Content and Analysis

AI Limitations

Our Service uses artificial intelligence to provide business analysis, risk assessments, and other insights. AI systems may produce inaccurate, incomplete, or misleading information.

No Warranties for AI Content

  • We provide no warranties regarding the accuracy, completeness, or reliability of AI-generated analyses
  • AI-generated content should not be relied upon as professional advice
  • You should always verify AI analyses with qualified professionals

Professional Review Required

You acknowledge and agree that:

  • All AI-generated legal documents must be reviewed by qualified attorneys
  • Financial analyses should be verified by financial professionals
  • Business recommendations should be evaluated by experienced advisors
  • You will conduct independent due diligence before making business decisions

Limitation of Liability for AI Content

You agree that AlphaY is not liable for any decisions, losses, or damages resulting from reliance on AI-generated content or analyses.

8. Privacy and Data Protection

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our collection and use of information as described in our Privacy Policy.

9. Account Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting [email protected].

Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or harmful activities
  • Abuse the Service or our support team
  • Violate applicable laws while using our Service

Effect of Termination

  • Upon termination, your access to the Service will cease
  • We make no guarantee regarding data retention after termination
  • If requested, we will make reasonable efforts to help you retrieve your data, subject to technical limitations
  • All provisions of these Terms that should survive termination will continue to apply

10. Disclaimers and Limitation of Liability

Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding service availability, reliability, or performance
  • Warranties regarding data accuracy or AI-generated content

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not responsible for any data loss, business interruption, or lost profits
  • These limitations apply regardless of the legal theory of liability

Data Loss

We maintain daily backups of platform data but do not guarantee against data loss. You are responsible for maintaining your own backups of important information.

11. Indemnification

You agree to indemnify, defend, and hold harmless AlphaY, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Any decisions made based on AI-generated content from our Service

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Florida, and the arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any arbitration shall be conducted in your individual capacity only and not as part of a class action or representative proceeding.

Small Claims Exception

Either party may pursue claims in small claims court if the claims qualify for such court's jurisdiction.

13. Modifications to Terms

We may modify these Terms at any time by:

  • Posting updated Terms on our website
  • Sending email notification to your registered email address
  • Providing notice through the Service

Continued use of the Service after notification constitutes acceptance of the modified Terms. If you do not agree to the modifications, you must stop using the Service.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AlphaY regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms at any time without notice.

Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control.
